i have a athlon xp if i upgrade to a amd 64 (not x2) would i notice a significant difference in performance.?

you will see difference of performance with an amd 64 only if you decide to use a 64-bit system and use 64-bit applications. right now there is not a lot of applications in 64-bit. other thing, if you plans to have more than 4gb of memory, you should go for the amd 64 and install a 64bit system on it, because 32bit systems have a limit of 4gb of memory. if none of this is your case, there is not really point in getting a 64bit processor because pretty much everything still runs at 32
